In these Terms: “Client” means the person or entity engaging our Services; “Business Client” means a Client contracting in the course of business; “Deliverables” means agreed lead reports, campaign outputs, and notes; “Working Day” means Monday to Friday excluding Scottish public holidays.

04. Scope of Services

Our services encompass: a) Outbound/inbound telemarketing and telesales; b) Lead generation, qualification, appointment setting, and database building; c) Customer engagement and follow-up; d) Consultative selling and pipeline support; e) Market research and opportunity identification; f) CRM support and reporting; g) Advisory on UK and US international scaling.

Specific scope, volumes, targets, and KPIs are set out in your individual Service Agreement. We act strictly as an independent contractor, not as your employee or legal partner.

05. Use of Website

You may use the Website for lawful purposes only. You must not copy content without consent, introduce malware, attempt unauthorized server access, or scrape data without explicit written permission. All website intellectual property belongs to Vibelift Global.

06. Enquiries, Proposals and Contract Formation

Initial inquiries do not create a binding contract. Formal proposals are valid for 30 calendar days unless stated otherwise. A binding contract forms only when you accept our Proposal in writing AND we confirm in writing, countersign a Service Agreement, or receive an agreed onboarding deposit.

07. Our Obligations

We will provide Services with reasonable skill, care, and diligence, using trained personnel, agreed call frameworks, and strict compliance with PECR, Data Protection Act 2018 / UK GDPR, Ofcom guidance, and US TCPA/DNC rules where applicable. Timelines are executed on a best endeavours basis unless expressly stated otherwise in writing.

08. No Guarantee of Results

Telemarketing, sales conversion, and outbound customer acquisition outcomes cannot be guaranteed. Published figures, case studies, and projections are illustrative benchmarks, not binding promises. Commercial success depends upon market factors, client pricing, product-market fit, data quality, and timely client follow-up.

09. Client Obligations

You agree to provide accurate company information, timely feedback on call scripts, lawful materials, required commercial licenses, and prompt follow-up on introduced leads. You must not instruct us to conduct any misleading or non-compliant outreach.

10. Data, Lists and Marketing Compliance

List ownership is defined in the Service Agreement. Where you supply data, you warrant a lawful basis under UK GDPR. Where we process prospect data on your behalf, we act as Processor and you act as Controller with a Data Processing Agreement (DPA). We screen against TPS/CTPS and agreed DNC registries and honour opt-outs immediately.

11. Fees and Payment

Fees are defined in your Service Agreement (fixed, monthly retainer, hourly, per-appointment, or hybrid). All fees are quoted in GBP and exclusive of VAT where applicable. Invoices are payable within 14 days by bank transfer. For Business Clients, late payments accrue interest at 8% over the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.

12. Term and Termination

Ongoing retainers continue month-to-month following any agreed minimum commitment and are terminable on 30 days' written notice. Either party may terminate immediately for material breach (with 14 days remedy notice) or insolvency. Consumers contracting at distance retain 14-day statutory cancellation rights under the Consumer Contracts Regulations 2013.

13. Confidentiality

Each party agrees to maintain strict confidentiality over the other's non-public commercial, client, and operational data. This obligation survives termination for a period of 3 years.

14. Intellectual Property

Pre-existing IP remains with its respective owner. Our proprietary sales scripts, internal frameworks, and know-how remain Vibelift Global IP. Upon full payment of all fees, client-specific deliverables (custom campaign reports, meeting notes) are assigned to you.

15. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and UK GDPR / Data Protection Act 2018. International data transfers across UK and US markets utilize appropriate SCCs and International Data Transfer Agreements.

16. Warranties and Limitation of Liability

Our total aggregate liability under any Service Agreement is capped at the total fees paid by the Client in the prior 6 months or £5,000 (whichever is lower). Neither party is liable for indirect or consequential loss of profits, revenue, or business opportunities. Nothing excludes liability for death, personal injury caused by negligence, or fraud.

17. Non-Solicitation (Business Clients)

Business Clients agree not to directly solicit, recruit, or hire any assigned Vibelift Global personnel or circumvent introduced commercial relationships for 12 months following campaign termination without prior written consent.

18. Force Majeure, Changes, and Assignment

Neither party shall be liable for delays or failures resulting from events beyond reasonable control (force majeure). We may update Website Terms periodically; material amendments to ongoing Service Agreements require written consent.

19. Complaints, Law, and Dispute Resolution

Complaints will be acknowledged within 5 working days with resolution targeted within 20 working days. These Terms are governed exclusively by the laws of Scotland and the United Kingdom, and subject to the exclusive jurisdiction of the Scottish courts.

20. Notices and Contact Information

All legal notices must be served in writing in the English language to:
